But should new, virtual forms of money like bitcoin enjoy currency status? The question is far from settled.<\/p>\n<p>Simon Gleeson, a partner at law firm Clifford Chance, explains why these definitions matter.<\/p>\n<p>\u201cCurrency is simply another word for negotiability,\u201d writes Gleeson in a new book called <a href=\"https:\/\/global.oup.com\/academic\/product\/the-legal-concept-of-money-9780198826392?cc=us&amp;lang=en&amp;\"><em>the Legal Concept of Money<\/em><\/a>.<\/p>\n<p>\u201cIt was initially an attribute of physical coins, and referred to the fact that the transfer of money falls outside the application of the rule that <em>nemo dat quod non habet.<\/em>\u201d<\/p>\n<p><em>Nemo dat quod non habet<\/em> (in English, \u2018you can\u2019t give what you do not have\u2019) is the legal principle that a thief cannot pass off or resell stolen property as his own. Instead, the original owner can reclaim it from a third party.<\/p>\n<blockquote><p>The act of spending transforms stolen notes and coins into currency<\/p><\/blockquote>\n<p>But this rule doesn\u2019t extend to money. In his book, Gleeson explains how money\u2019s <em>nemo dat <\/em>exemption works.<\/p>\n<p>\u201cWhen a thief spends stolen notes and coins, the payee [the person receiving the payment] receives good title to those notes, regardless of the fact that the person who transferred them had none,\u201d he says.<\/p>\n<p>It\u2019s the act of spending that transforms stolen notes and coins into currency.<\/p>\n<p>\u201cIf a thief steals five \u00a310 notes from your wallet, and you immediately apprehend him and can identify the specific notes, the \u00a310 notes are still yours,\u201d says Gleeson.<\/p>\n<p>\u201cBut if he can get to a shop and spend them before you catch him, you cannot recover them from the shopkeeper,\u201d he explains.<\/p>\n<p>Despite receiving stolen money, the shopkeeper also enjoys protection.<\/p>\n<p>\u201cThe person accepting the notes is entitled to rely on a legal presumption that the possessor of money is the legitimate true owner,\u201d Gleeson adds.<\/p>\n<p>But if the law of currency seems an open invitation to theft and money laundering, there are constraints.<\/p>\n<p>For money to pass into currency, there are two additional provisos: it has to be exchanged for some form of value, and it has to change hands in good faith.<\/p>\n<p>So a gift by the thief of the stolen money wouldn\u2019t turn it into currency. And if the shopkeeper knew that the pound notes were stolen, he\u2019d have to give them up to the original owner.<\/p>\n<p>These exemptions from the normal rules governing property may seem surprising. But it\u2019s easy to see why they entered English law several hundred years ago.<\/p>\n<p>If all notes and coins were subject to reclaim by their original owners, whether one, ten or a hundred transactions back in time, legal processes might multiply and commerce would grind to a halt.<\/p>\n<p>But the distinction between money\u2014a type of property with privileged legal status\u2014and other, non-money forms of property is a difficult one. And it\u2019s a topic that has gained renewed urgency as a result of the invention of decentralised virtual money like bitcoin.<\/p>\n<blockquote><p>Money has no \u2018earmark\u2019<\/p><\/blockquote>\n<p>One of the reasons it makes no sense to try to follow money through a series of past transactions is that, by contrast with an imaginary stolen pig, money has no \u2018earmark\u2019.<\/p>\n<p>In other words, you can\u2019t differentiate one note or coin from another as a result of its previous history.<\/p>\n<p>But what if money could be earmarked, say digitally? In fact, that\u2019s exactly what the blockchains (decentralised databases) underlying digital assets like bitcoin offer.<\/p>\n<p>If you open a software application like bitcoin\u2019s <a href=\"https:\/\/www.blockchain.com\/explorer\">block explorer<\/a>, you find a transparent record of transactions in the currency since its inception.<\/p>\n<p>Let\u2019s say you used stolen bitcoin, or bitcoin that had been used in a past drug deal, to buy goods from a shopkeeper.<\/p>\n<p>Shouldn\u2019t we forget about money\u2019s liability exemption and rely on the inherent traceability of the digital asset to try to catch the crooks, say by linking the identity of those making past transactions with some real-world actors?<\/p>\n<p>Given blockchain\u2019s status as a new form of public record, it\u2019s unsurprising that some seek to divide digital assets into \u2018clean\u2019 and \u2018tainted\u2019 currency units.<\/p>\n<p>For example, <a href=\"https:\/\/www.cl.cam.ac.uk\/~is410\/taintchain\/\">a group of researchers at the University of Cambridge<\/a> says it proposes to make bitcoin legal\u2014to confer on it the status of money\u2014by separating the outstanding coins into good and bad cohorts, and treating only the former as currency.<\/p>\n<blockquote><p>Virtual currency can always be traced, but so can banknotes<\/p><\/blockquote>\n<p>But this approach may not have the law on its side, says Clifford Chance\u2019s Gleeson.<\/p>\n<p>\u201cThere is an argument that it cannot be possible to treat virtual currency as currency, since it can always be traced,\u201d he writes in <em>the Legal Concept of Money.<\/em><\/p>\n<p>\u201cThe difficulty with this argument is that the same is true of banknotes. Each banknote (in the UK, and in many other countries) has a unique identifying number which in theory enables it to be traced.\u201d<\/p>\n<p>But what about the traceability inherent in the blockchain? In theory at least, a distributed ledger could be used, unlike the serial number of a banknote, to show which hands money had passed through.<\/p>\n<p>Gleeson rebuts this too.<\/p>\n<p>\u201cThis [argument] is wrong for two important reasons,\u201d he says.<\/p>\n<p>\u201cFirst, no examination of the ledger can reveal whether the transferee of a unit was a purchaser for value,\u201d he says, citing one of the conditions for money to gain exemption from the <em>nemo dat <\/em>rule.<\/p>\n<p>\u201cWhere money is found in the hands of a person,\u201d he goes on, \u201cit is presumed to have been negotiated to him for value unless the contrary can be proved. This is as true for virtual currency units as it is for individually identifiable banknotes.\u201d<\/p>\n<p>And Gleeson goes back to the main structural feature of a distributed ledger: it has no controlling entity.<\/p>\n<blockquote><p>Regulators&#8217; approach to digital assets remains uneven<\/p><\/blockquote>\n<p>\u201cThe second problem is that information which would be revealed to an omniscient party with complete access to all of the relevant public and private keys is irrelevant if no such party exists,\u201d he writes.<\/p>\n<p>These legal arguments matter, not least because <a href=\"http:\/\/beta.newmoneyreview.com\/index.php\/2018\/10\/31\/uk-taskforce-adds-to-cryptocurrency-confusion\/\">the regulatory approach to digital assets like bitcoin<\/a> remains uneven.<\/p>\n<p>Central bankers\u2019 criticisms of digital assets like bitcoin have often tended <a href=\"https:\/\/www.bis.org\/review\/r180323a.pdf\">to focus on their perceived lack of utility, rather than their legal status<\/a>.<\/p>\n<p>However, there\u2019s also been a dogmatic tone to statements from the <a href=\"https:\/\/www.bis.org\/speeches\/sp180704a.htm\">Bank for International Settlements<\/a> and the <a href=\"https:\/\/www.ecb.europa.eu\/explainers\/tell-me\/html\/what-is-bitcoin.en.html\">European Central Bank<\/a>. And securities and futures market regulators have noticeably preferred to label bitcoin as a token or <a href=\"http:\/\/fortune.com\/2018\/03\/07\/bitcoin-cftc-commodities-coin-drop-markets\/\">commodity<\/a>, rather than as money.<\/p>\n<blockquote><p>It\u2019s human custom that eventually prevails<\/p><\/blockquote>\n<p>But according to one of the UK\u2019s leading financial lawyers, there\u2019s no reason in principle why these new digital assets should not serve as currency. Money is, after all, a social construct, and it\u2019s human custom that eventually prevails.<\/p>\n<p>In his book, Gleeson argues that regulators and lawyers should remember their limitations in dictating new rules for this emerging sector.<\/p>\n<p>\u201cLegal certainty should support social consensus, but is a very poor tool with which to try and create that consensus,\u201d he says.<\/p>\n<p><em><a href=\"http:\/\/eepurl.com\/du6eTr\"><strong>Sign up here<\/strong><\/a>\u00a0for New Money Review\u2019s monthly content updates\u00a0<\/em><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Like a current, money flows, it circulates, it\u2019s liquid.
